CREDIT CARD ON-LINE PAYMENT MERCHANT AGREEMENT
This Agreement is made between the firm or corporation whose name and principal place of business/registered office are set out in Schedule 1 ("Merchant") and AsiaPay Network Limited whose registered office is situate at Unit 6511-13, 65th Floor, The Center, 99 Queen's Road Central, Central, Hong Kong ("Asiapay").

Whereas: -

1. Asiapay provides (inter alia) Payment Services for effecting credit card on-line payment authorizations and settlement and other credit card services.
2. The Merchant wishes to engage the Asiapay's services for its goods and/or services sold on the Internet, including without limitation any donation(s) to be received by the Merchant.

1. Definitions
1.1 In this Agreement, unless the context otherwise requires: -
"Account" means the Merchant's account with Asiapay as may be designated by Asiapay from time to time.
"Card" means a valid credit card issued by a member of Visa International or MasterCard International.
"Cardholder" means a person to whom and in whose name a Card has been issued and who uses software in support of Sales Transaction.
"Hong Kong" means the Hong Kong Special Administrative Region of The People's Republic of China.
"HK$" means the lawful currency of Hong Kong for the time being.
"Internet" means the world wide connection of computer networks providing for the transmission of electronic mail, on-line information, information retrieval and file transfer protocol.
"Merchant's System" means the processing computer system used by the Merchant to conduct its business on the Internet through the Site.
"Operating Regulations" means the Visa International and MasterCard International Operating Regulations pertaining to electronic commerce transactions from time to time in force and all other rules, regulations, guidelines, directives instructions and procedural requirements which Visa International, MasterCard International and/or Asiapay may from time to time issue or publish.
"PayDollar" means paydollar.com, the Site developed and maintained by Asiapay on the Internet, or other Sites as Asiapay shall in its sole discretion determine.
"Payment Transaction" means a legitimate transaction of payment or settlement between the Merchant and the Cardholder performed in whole or in part via electronic communication through the Internet and to be settled by a Card by way of sale transaction or provisions of goods and/or services.
"Payment Services" means the services provided by Asiapay or its agents that process merchant's authorization and payment messages (including payment instructions from Cardholder) and interface with private financial networks.
"Sales Transaction" means a legitimate transaction of exchange of goods and/or services for payment between the Merchant and the Cardholder performed in whole or in part via electronic communication through the Internet and to be settled by a Card.
"Site" means the Merchant's site on the Internet for conducting the Sales Transactions which can be accessed by both wired and wireless means and is more particularly set out in Schedule 2 hereof; and includes each page comprised therein.
"System" means the Merchant System, the Asiapay's System and the other computer system as Asiapay may from time to time designate for Payment Services in such specification as Asiapay may at its absolute discretion prescribe.

2. Payment Services
2.1 Subject to the terms and conditions of this Agreement, Asiapay agrees to provide Payment Services to the Merchant for the Site through PayDollar in respect of on-line payment for the Sales Transactions.
2.2 Asiapay only agrees to provide for Payment Services to the Merchant's Site subject to the terms and conditions of this Agreement. The Merchant must obtain the prior written consent of Asiapay in the event that the Merchant intends to subscribe for Asiapay's Payment Services for the Merchant's other Sites.

3. Compliance of Operating Regulations and Laws
3.1 The Merchant shall duly comply with all Operating Regulations and all applicable laws, rules and regulations of Hong Kong in conducting Sales Transaction and using the services provided by Asiapay hereunder.

4. Eligibility
4.1 Payment Services will only be made available by Asiapay to parties which can enter into and form legally binding contracts under applicable laws. As one of the pre-requisites to use the Payment Services, the Merchant must register and provide Cardholder's credit card number, expiry date of the credit card and other information as required by Asiapay. Asiapay may, at its sole and absolute discretion, decline or refuse to provide Payment Services to anyone at any time.
4.2 The Merchant must also satisfy those requirements set out in Clauses 5 and 6 hereof.
4.3 The Merchant understands and agrees that the Payment Services is provided to the Merchant on an "as-is" basis and that Asiapay assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.
5. Merchant's Site requirements
5.1 The Merchant shall ensure that the Site contains all of the followings: -
(a) the Merchant's country of domicile;
(b) the applicable transaction currency;
(c) a complete and accurate description and price list (including delivery charges, if applicable) for all the goods and/or services offered by the Merchant for sale;
(d) a complete and accurate statement of the contractual terms that shall apply to the transaction for sale of the goods and/or services and that confirm the identity of the Merchant as the seller with the responsibility for effecting the transaction is solely that of the Merchant;
(e) a comprehensive and accurate statement of the arrangement for delivery of the goods and/or services purchased;
(f) a comprehensive and accurate statement of the arrangement for return of the goods and/or services purchased and refund;
(g) the Merchant's customer service contacts including e-mail address and telephone number;
(h) applicable restrictions on export (if any);
(i) and such other information as Asiapay may from time to time require.
5.2 In connection with the sale of its goods and/or services on the Internet, the Merchant shall ensure that:-
(a) all necessary permits, licenses and authorizations from any authority have been obtained;
(b) the sale of its goods and/or services does not contravene the law of Hong Kong or the law in any other jurisdiction in or from which the goods and/or services are to be sold;
(c) the information contained in the Site shall not :-
i) be misleading, untrue, deceptive, defamatory or likely to be so;
ii) breach any intellectual property rights of any third party;
iii) harass, threaten, embarrass or cause distress, unwanted attention or discomfort upon other merchants or users of PayDollar.com or other individuals or entities;
iv) infringe any applicable laws for any rules, laws or regulations in any applicable jurisdictions;
v) expose Asiapay to the risk of any claim, legal or administrative action; or
vi) be considered by Asiapay as inappropriate.

5.3 The Merchant shall use Asiapay's or its agent's logo or name or trade name in such manner as approved by Asiapay from time to time.
5.4 The Merchant shall not in any manner whatsoever indicate or imply that Visa International or MasterCard International or Asiapay endorses or otherwise makes any representations about the Merchant's goods and/or services.
5.5 The Merchant shall not display or suffer to be displayed on, and shall forthwith on Asiapay's demand remove or procure to be removed from, the Site any material which Asiapay deems to be pornographic, obscene, indecent, or of a gambling nature, or which is prohibited from being published in mass media by any law of Hong Kong or any applicable laws.

6. Merchant's System
6.1 The Merchant shall at its own costs and expenses ensure that the Merchant's System is compatible with Asiapay's System and that the links between them works properly at all times and also maintain the Merchant's System in good operating conditions.
6.2 Notwithstanding anything to the contrary herein contained, Asiapay makes no representation or warranty of any kind, express or implied, statutory or otherwise with respect to Asiapay's System or the Other System or any computer software which may have been provided by Asiapay or any other person to the Merchant. Without prejudice to the generality of the foregoing, Asiapay does not represent or warrant that the Merchant shall have continuous uninterrupted or error free access to Asiapay's System or the Other System. In no circumstance shall Asiapay be liable to the Merchant if the Payment Services are not
available to the Merchant due to computer downtime attributable to housekeeping, malfunctioning, upgrades or preventive or remedial maintenance activities or due to any cause beyond Asiapay's control.

7. Sales Transaction Processing
7.1 The Merchant shall process all Sales Transactions through the System according to the terms and conditions of this Agreement.
7.2 The Merchant shall not impose on any Cardholder any surcharge or additional charge or payment on any such sale save and except for reasonable charges for delivery nor shall the Merchant impose any minimum amount or any surcharge or additional charge on the use of a Card, allow any discount or rebate for the use of any other means of payment, or otherwise provide any disincentive for the use of a Card or any incentive for the use of any other means of payment.
7.3 Notwithstanding anything to the contrary herein contained, Asiapay may decline to authorize any Payment Transaction (by way of debiting the Cardholder's Card Account) in its sole and absolute discretion without assigning any reason therefor.
7.4 The Merchant shall maintain records of the Payment Transactions processed by it in such details and in such manner as Asiapay may from time to time prescribe for at least twenty (20) months from the relevant transaction date and shall make such records available for Asiapay's inspection at all time. At Asiapay's request, the Merchant shall furnish copies of the same to Asiapay without any charge within four (4) working days.

8. Payment
8.1 The Merchant shall not make a request for payment or settlement for any Payment Transaction which has been authorized by Asiapay unless the Merchant is in the course of performing or providing goods and/or services to the Cardholder pursuant to the instruction of the Cardholder or the goods and/or services sold or provided thereunder have already been duly performed according to the instruction of the Cardholder and the agreement or arrangement between the Merchant and the Cardholder. The Merchant shall upon request of Asiapay provide evidence of such instruction or performance as Asiapay may reasonably require. Without prejudice to any other rights of Asiapay including (without limitation) Clauses 10.1 hereof, Asiapay is entitled to withhold payment or settlement of any Payment Transaction upon receipt of any complaint or dispute from the Cardholder regarding such Payment Transaction until such evidence of the resolution of such complaint or dispute in the Merchant's favour has been produced to Asiapay's satisfaction.
8.2 The Merchant hereby agrees, warrants and represents and shall be deemed to have agreed, warranted and represented to Asiapay on each of its request for payment that each relevant Payment Transaction thereunder has been duly and properly authorized and completed according to the terms and conditions of this Agreement and all details of such Payment Transactions are true and correct.
8.3 Subject to the other provisions of this Agreement and conditional upon the due and full observance and compliance by the Merchant of all the terms and conditions herein contained, Asiapay shall credit to the Account the amounts of the Payment Transactions as duly authorized through the System (after deducting therefrom the full amount of the refunded amount and administrative fees, if applicable, as mentioned in Clause 9) less a discount fee (if applicable) charged by Asiapay which is subject to change/adjustment by Asiapay from time to time. Asiapay will notify the Merchant in respect of such change/adjustment.
The details of the calculation of the discount fee are set out in Schedule 3 hereto.
8.4 All payments or settlement hereunder shall be made by Asiapay to the Merchant in terms of the lawful currency of Hong Kong. If any of the Payment Transactions was effected in a currency other than that of Hong Kong, the exchange rate between that other currency and the currency of Hong Kong for the purpose of calculating the amount to be credited to the Account shall be determined by Asiapay and such determination shall be binding on the Merchant for all intent and purposes.
8.5 Asiapay has the right to receive payment on the Payment Transactions hereunder and the Merchant shall not demand, sue or make any claim thereon. Cash advances by the Merchant or by the Merchant to the Cardholder are not allowed in any circumstances.
8.6 Subject to the other terms and conditions of this Agreement and in particular Clauses 10.1 and 19.4, any payment or settlement by Asiapay to the Merchant in respect of each Payment Transaction shall be made at such time as set out in Schedule 4 hereto.
8.7 Should the Merchant become indebted to Asiapay for whatever reasons, including without limitation the following:-
(a) Asiapay has paid the Merchant amounts greater than what the Merchant is otherwise entitled hereunder; or
(b) the Merchant has failed to pay to Asiapay any amount due or owing to Asiapay under this Agreement,

the Merchant shall forthwith pay or refund such amount to Asiapay in such manner as Asiapay deems fit.

9. Credit and Adjustment
9.1 The Merchant may apply for cancellation or any transaction amount adjustment for any Payment Transaction. The Merchant shall first provide documentary evidence to the satisfaction of Asiapay in support of such application. If any Payment Transaction is accepted for cancellation or any transaction amount adjustment, Asiapay may first deduct the refunded or adjusted amount from the Merchant's Account and then to make refund to the Cardholder by depositing such refunded or adjusted amount into the Cardholder's account directly. Asiapay will then set-off the refunded or adjusted amount together with the administrative fees (if applicable) against the next payment payable by Asiapay to the Merchant.

10. Chargeback
10.1 If at any time, Asiapay, in its sole and absolute discretion, determines that any irregular or suspicious circumstances has occurred, including without limitation any of the following situations:-
(a) a proper authorization of the relevant Payment Transaction was not obtained;
(b) the code number generated by an authorization or other detail does not correspond with Asiapay's record of the relevant code number or detail;
(c) the Merchant is in breach of any terms, conditions, agreements, representations or warranties contained in this Agreement;
(d) the relevant Cardholder or Card issuer, whether under the relevant credit card programme regulations or otherwise has indicated the intention to deny or has denied liability for whatever reasons regardless of whether the Merchant has observed the terms and conditions herein or obtained the necessary authorization;
(e) the relevant Payment Transaction is being suspected to be a fraud regardless of whether the Merchant might be a party thereto;
(f) a dispute has arisen or exists between the Merchant and another person in relation to the goods and/or services sold or provided;
then Asiapay shall be entitled to refuse payment to the Merchant on any Payment Transactions which Asiapay determines to be so affected and shall have the rights, but not the obligation to commence investigation or other action on the Merchant or any other person.

If Asiapay shall have already paid to the Merchant on account of any such Payment Transactions, the Merchant shall forthwith refund such amount to Asiapay on demand. The Merchant shall not hold Asiapay liable for any loss or damage to the Merchant that may arise in respect of the foregoing decision of Asiapay made in good faith under this clause.
10.2 Without prejudice to any of the rights of Asiapay herein, the Merchant hereby agrees to and undertakes and covenants with Asiapay that it shall bear solely and absolutely all the obligations, liabilities and the losses, costs and expenses incurred by Asiapay in relation to all charge backs in any event.

11. Breach of Security
11.1 The Merchant shall forthwith report to Asiapay in writing if any one or more of the following similar events take place: -
(a) the Merchant suspects that any of the Cardholder's information is not true, accurate or correct;
(b) the Cardholder submits incorrect payment information, including payment amount or currency;
(c) the Merchant has been advised of any invalid payment transaction from the Cardholder's credit card account;
(d) the transaction does not comply with any of the applicable laws or regulations or any of the terms of this Agreement.
11.2 The Merchant shall promptly notify Asiapay in writing if it has reason to believe that its account or method of payment is no longer secure, in particular, in the event of a loss, theft or unauthorized disclosure or use of Merchant's identity or user name, password, or any credit card number stored on or used by PayDollar.

12. Representations, Warranties and Undertakings
12.1 The Merchant hereby represents, warrants and undertakes in favour of Asiapay that :
 
(a) it will use the name or logo of Asiapay or PayDollar in a mutually agreed position the Site as notified by Asiapay;
(b) it will not use the Site or the Payment Services for the any unlawful, fraudulent or improper activities;
(c) no information or material it provides to Asiapay is inappropriate, untrue or incorrect;
(d) it will promptly provide Asiapay with all such further information or document or authorization for obtaining such information or document as Asiapay shall from time to time requires;
(e) it will be responsible for and duly discharge any fees, charges, taxes or duties payable as a result of any dealing through PayDollar and the costs and charges of Asiapay in the investigation of any transaction involving or suspected to involve any dishonesty or fraud;
(f) it will not reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Payment Services, use of the Payment Services, or access to the Payment Services from PayDollar.
13. Use of Site
13.1 The Merchant shall not reproduce, duplicate, copy or otherwise exploit the site of Paydollar or any part thereof that is not expressly permitted by Asiapay and Asiapay reserves the right to refuse service, terminate accounts, and/or cancel orders at its discretion if Asiapay believes that a user's conduct violates any applicable law or is harmful to the interests of Asiapay and other users.

14. Links
14.1 Asiapay or any other third parties may provide, links to other World Wide Sites or resources. Since Asiapay has no control over such sites and resources, the Merchant hereby acknowledges and agrees that Asiapay shall not in any way be responsible for the availability of such external sites or resources or liable for any content, advertisements, products, or other materials on or available from such sites or resources. The Merchant further acknowledges and agrees that Asiapay shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resources.

15. Disputes
15.1 The Merchant shall satisfy all lawful claims or disputes made by the Cardholders or any other person concerning the goods and/or services acquired from the Merchant by the use of a Card and shall fully indemnify Asiapay and keep Asiapay harmless against all loss, damages, costs, expenses (including legal expenses), actions, proceedings, claims and/or demand whatsoever that Asiapay may suffer or incur in connection therewith.
15.2 The Merchant agrees that Asiapay shall not in any way be liable to the Merchant, the Cardholder or any other third party for any loss of sales or refusal by the Cardholder or any person to accept any goods or services of the Merchant for any reason whatsoever. All such disputes should be handled and resolved between the Merchant and the Cardholder without any reference to Asiapay.

16. Fees
16.1 The Merchant shall pay to Asiapay such fees as set out in Schedule 5 hereto in respect of the services provided by Asiapay hereunder.

17. Confidentiality
17.1 The Merchant hereby undertakes to keep all and each of the terms and conditions confidential and not to disclose any of such terms and conditions herein to any third party without the prior written consent of Asiapay.
17.2 Asiapay is fully authorized and shall be entitled to disclose and obtain the necessary information concerning the Merchant to or from any of Asiapay's agent or sub-contractor or any other necessary person for any purpose in connection with this Agreement.
17.3 In accordance with the provisions of the Personal Data (Privacy) Ordinance of Hong Kong, the Merchant consents to Asiapay using any personal data (as defined in the Ordinance) in respect of the Merchant which may be held by Asiapay in connection with transaction processing facilities, and to Asiapay supplying such personal data to any selected third parties (who owes to Asiapay a duty of confidentiality similar in scope and extent to the duty of confidentiality of Asiapay owing to the Merchant herein) to use for such purposes. The Merchant also consents to any such personal data being transferred to another
legal jurisdiction outside Hong Kong and to any matching procedures (as defined in the Ordinance) being carried out in respect of such personal data. The Merchant may at any time withdraw his consent under this Clause 17.3 by giving Asiapay thirty (30) days' prior written notice of such withdrawal. This provision shall survive the termination of this Agreement subject to any applicable laws relating to protection of personal data.

18. Assignment
18.1 The Merchant shall not without the prior written consent of Asiapay assign this Agreement or any interest or right herein created or any part thereof. Asiapay may at any time assign this Agreement or any interest or right herein created or any part thereof without the Merchant's consent provided that Asiapay shall give a written prior notice to the Merchant for such assignment.
18.2 The Merchant shall give not less than seven (7) days' written notice to Asiapay of any change or any proposed change of the composition of directors, controlling shareholding or constitution of the Merchant. Asiapay reserves the right to suspend the Payment Services for such period as Asiapay deems appropriate by giving notice to the Merchant upon such change taking effect if Asiapay in its absolute discretion considers such change may amount to or constitute the replacement of a new merchant to this Agreement.

19. Termination
19.1 Asiapay may at any time hereafter terminate this Agreement by giving to the Merchant not less than thirty (30) days prior written notice whereas the Merchant may terminate this Agreement after twelve (12) months from the date hereof by giving to Asiapay not less than sixty (60) days prior written notice.
19.2 Asiapay, may, in its sole discretion, suspend, or if Asiapay deems appropriate, terminate the Merchant's password, account (or any part thereof) or use of the Payment Services and remove and discard any content within the Payment Services for any reason whatsoever.
19.3 Upon termination of this Agreement as aforesaid, this Agreement shall come to an end and the parties hereto shall be released from any further obligations hereunder provided that such termination shall not affect any rights and liabilities of the parties incurred or arising out of circumstances which existed prior to termination. Any unfulfilled orders placed by the Cardholders before such termination shall continue to be fulfilled by the Merchant subject to the terms and conditions of this Agreement.
19.4 The parties hereto further agree that, upon termination of this Agreement as aforesaid, this Agreement shall come to an end, Asiapay shall have the right to withhold all payments due to the Merchant for a period of six (6) months from the effective date of the termination of this Agreement.

20. Amendment and Notice
20.1 Notwithstanding anything to the contrary herein contained, Asiapay may at any time and from time to time amend any terms and conditions of this Agreement with notice. Asiapay further reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, its Payment Services (or any part thereof) with notice. The Merchant agrees that Asiapay shall not be liable to the Merchant or any third party for any such modification, suspension or discontinuance of the Payment Services.
20.2 Notices to be given hereunder shall be in writing. Notices to be given to Asiapay shall be sent to Asiapay's e-mail or mailing address but shall not be effective until actually received by Asiapay. Notices to be given to the Merchant may be sent to the Merchant's latest e-mail or mailing address in the record of Asiapay and shall be deemed to have been received by the Merchant at the time of sending out by Asiapay.

21. Indemnity
21.1 The Merchant agrees to indemnify Asiapay against all costs and expenses (on a full indemnity basis) incurred by Asiapay and all losses suffered by Asiapay and hold Asiapay, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand made by any third party due to or arising out of
(a) the content or information submitted by the Merchant, posted to or transmitted through the service provided by Asiapay;
(b) the Merchant's use of the service;
(c) the Merchant's connection to the service;
(d) the Merchant's violation of any rights of any third party;
(e)

any Cardholders' refunds and/or returns;

(f) warranty and/or service claims of customers arising out of express or implied representations of the Merchant or by operation of any applicable law, regulation, or trade custom;
(g) any breach by the Merchant or its servants or agents of any of the terms, conditions, agreements, representations or warranties contained in this Agreement; or
(h) any fraud or bona fide dispute involving the Merchant.

22. Asiapay's Record
22.1 Asiapay's record as to the Payment Transactions, authorization code, refund, the amount due to or from the Merchant and any other matter arising hereunder shall be binding on the Merchant and be conclusive evidence for all purposes (save and except manifest error).

23. Asiapay's right of set-off, etc.
23.1 Asiapay shall be entitled to charge, combine, consolidate any of the Merchant's account with Asiapay and/or to set-off any liabilities at any time without prior notice to the Merchant.

24. Force Majeure and Disclaimer of Liability
24.1 Asiapay shall not in any way be liable to the Merchant for any delay or non-performance of any of its obligations under this Agreement arising in whole or in part from any Act of God, civil commotion, strike, industrial dispute, war, war-like hostility, change in legislation, or other calamity or circumstances whatsoever beyond the control of Asiapay.
24.2 The Merchant further agrees that Asiapay shall not in any way be liable to the Merchant for any delay, non-performance of any of its obligations under this Agreement arising in whole or in part from any computer virus, unauthorized access, unauthorized use or loss of service etc. or such other circumstances whatsoever beyond the control of Asiapay.

25. Savings
25.1 The rights and remedies of Asiapay hereunder are in addition to and shall not affect or prejudice or be affected or prejudiced by any rights and remedies of Asiapay under any other merchant agreement entered or to be entered into between the Merchant and Asiapay in respect of the sales or provision of the Merchant's services.

26. Miscellaneous
26.1 In this Agreement, references to the singular shall where not inapplicable include the plural and vice versa, references to any gender shall where not inapplicable include every other gender, references to person shall include individual, firm and corporation and references to "Asiapay" shall include its successor and assigns and references to "Merchant" shall include its successor and permitted assigns.
26.2 Where the Merchant is a firm consisting of more than one partner, references herein to the Merchant shall where not inapplicable include any one or all of the partners of the firm and the obligation of the Merchant hereunder shall be deemed to be the joint and several obligations of the partners.
26.3 If any provision of this Agreement is invalid or unenforceable, the remaining provisions of this Agreement shall continue to be in full force and effect as if the invalid provision has been omitted from this Agreement.
26.4 No delay or omission by Asiapay in exercising any of its rights or remedies under this Agreement or otherwise available shall impair such right or remedy or constitute a waiver thereof, nor shall any single or partial exercise of such right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. All of the rights and remedies of Asiapay hereunder are accumulative and not exclusive of any other rights or remedies which would otherwise be available to Asiapay and shall survive the termination of this Agreement.
26.5 Asiapay may perform its obligations under this Agreement through its agent, contractor or correspondent and Asiapay shall be liable to the Merchant for any act or omission by such agent, contractor or correspondent.
26.6 This Agreement shall be governed by and construed in accordance with the laws of Hong Kong and the Merchant irrevocably submits to the non-exclusive jurisdiction of the Courts of Hong Kong.
